Rules of Cooperation with EL-MAG AUTO SRL
1. General Provisions
1.1. These rules define the terms of cooperation between EL-MAG AUTO SRL and its suppliers.
1.2. EL-MAG AUTO SRL operates as an automotive parts distributor, sourcing products from suppliers to resell in Romania.
1.3. Both parties agree to conduct business professionally, in good faith, and in compliance with applicable laws and regulations.
2. Ordering & Product Supply
2.1. EL-MAG AUTO SRL places orders based on demand and stock availability.
2.2. The supplier commits to providing accurate stock availability and delivery timelines.
2.3. Orders are placed via email, online platforms, or an agreed ordering system.
2.4. EL-MAG AUTO reserves the right to cancel or modify an order if the supplier fails to confirm availability or changes delivery terms.
3. Pricing & Payment Terms
3.1. Prices must be provided in the agreed currency and include clear terms regarding VAT, discounts, and any additional costs (e.g., shipping fees).
3.2. Payment terms will be agreed upon in writing, with options such as prepayment, credit terms, or scheduled payments based on supplier evaluation.
3.3. Invoices must be issued according to agreed terms and include all necessary details (order reference, item description, VAT, etc.).
3.4. Late payments may be subject to penalties as per contractual agreements.
4. Delivery & Logistics
4.1. Suppliers must ensure timely and complete delivery of orders.
4.2. The delivery method, Incoterms (EXW, FOB, DDP, etc.), and responsibility for shipping costs must be clearly agreed upon before shipment.
4.3. The supplier is responsible for ensuring that all shipments are properly packed, labeled, and accompanied by the correct documentation (invoices, certificates, etc.).
4.4. EL-MAG AUTO SRL must be notified immediately of any potential delivery delays or issues.
5. Product Quality & Returns
5.1. The supplier guarantees that all products meet Polcar’s quality standards and are free from defects.
5.2. EL-MAG AUTO SRL reserves the right to reject defective or non-conforming products and request a replacement or refund.
5.3. Any warranty claims will be handled according to the supplier’s warranty policies.
6. Confidentiality & Business Ethics
6.1. Both parties agree to maintain confidentiality regarding pricing, business strategies, and sensitive business information.
6.2. The supplier must comply with ethical business practices and avoid conflicts of interest.
7. Dispute Resolution & Governing Law
7.1. Any disputes will be resolved through negotiation. If an agreement cannot be reached, disputes will be handled in accordance with the governing law applicable in Romania.
7.2. Any legal disputes will be settled in the courts of Romania, unless otherwise agreed.
8. Amendments & Termination
8.1. These rules may be updated by mutual agreement.
8.2. Either party may terminate cooperation with prior written notice if the other party fails to meet its contractual obligations.
